Gold Watch Media Beta Reader NDA

This Beta Reader Non-Disclosure & Confidentiality Agreement (“Agreement”) is entered into between Gold Watch Media, together with its parents, subsidiaries, affiliates, related companies, successors, assigns, authors, creators, producers, and representatives (collectively, “Gold Watch Media”), and the individual signing this Agreement (“Beta Reader”). The Beta Reader is being given access to certain unpublished and/or unreleased creative material for the purpose of reviewing, evaluating, and providing constructive feedback to help Gold Watch Media improve the quality of its creative work.

You will not copy, reproduce, distribute, publish, post, quote, record, photograph, share, sell, or otherwise disclose any unreleased material or information obtained through the beta-reading program, except for providing your private feedback to the Company.

1. PURPOSE
Gold Watch Media may provide the Beta Reader with access to unreleased creative works, including but not limited to novels and manuscripts, short stories and written works, screenplays and scripts, film, television, and video concepts, music and audio projects, characters and character concepts, storylines and plot developments, book titles and concepts, cover art and promotional concepts, business and media concepts, marketing and publishing strategies, and other unpublished intellectual property or creative material. The fact that a particular work is being developed, reviewed, or considered for publication may itself be considered Confidential Information.

2. CONFIDENTIAL INFORMATION
“Confidential Information” means any non-public information disclosed or made available to the Beta Reader by Gold Watch Media, whether provided verbally, electronically, digitally, physically, visually, or in writing. This includes unpublished manuscripts, chapters, scenes, stories, concepts, characters, plots, themes, scripts, treatments, film concepts, audio, video, music, artwork, graphics, logos, designs, publishing and marketing plans, business plans, upcoming releases, private communications, and any other information a reasonable person would understand to be confidential or unreleased.

3. BETA READER RESPONSIBILITIES
The Beta Reader agrees to keep all Confidential Information strictly confidential; not share, distribute, publish, post, upload, copy, reproduce, photograph, screenshot, record, or otherwise disclose the material to any unauthorized person; not post reviews, excerpts, screenshots, quotations, or spoilers publicly before receiving written authorization from Gold Watch Media; not forward electronic files, links, passwords, or access credentials; not permit another person to read or access the material without written permission; not use the material for personal, commercial, educational, or creative purposes outside the purpose of providing feedback; and take reasonable steps to protect the material from unauthorized access. The Beta Reader may discuss the material with Gold Watch Media and provide honest opinions, criticism, suggestions, and recommendations as part of the beta-reading process.

4. NO COPYING OR UNAUTHORIZED USE
The Beta Reader shall not copy, reproduce, adapt, distribute, sell, publish, perform, display, upload, or otherwise use any portion of the Confidential Information without the prior written authorization of Gold Watch Media. The Beta Reader shall not use Confidential Information as the basis for creating another work, project, character, story, screenplay, publication, or other creative product. Nothing in this Agreement grants the Beta Reader ownership, copyright, trademark, publishing rights, licensing rights, or any other intellectual-property rights in the material provided.

5. SOCIAL MEDIA & PUBLIC DISCLOSURE
The Beta Reader may not publicly disclose information concerning unreleased Gold Watch Media material without prior written authorization. This includes Facebook, Instagram, TikTok, YouTube, X/Twitter, Reddit, blogs, podcasts, websites, online forums, private groups, text messages, or group chats involving unauthorized persons. The Beta Reader may state that they are participating as a beta reader for Gold Watch Media only if doing so does not reveal confidential information and does not suggest an endorsement, employment relationship, partnership, or other relationship beyond the beta-reading opportunity.

6. FEEDBACK
Gold Watch Media welcomes honest and constructive feedback. Feedback may include opinions regarding story development, characters, pacing, readability, dialogue, themes, structure, marketability, emotional impact, and areas requiring improvement. The Beta Reader grants Gold Watch Media permission to consider and use general ideas, suggestions, comments, and feedback provided during the beta-reading process in connection with improving, developing, editing, publishing, marketing, or otherwise producing its work. The Beta Reader understands that submitting feedback does not create an ownership interest in the resulting work or any right to royalties, compensation, credit, or other consideration unless separately agreed to in writing.

7. RETURN OR DELETION OF MATERIAL
The Beta Reader agrees to return physical materials upon request; delete electronic copies and downloaded files; delete screenshots or photographs; delete or destroy notes containing confidential portions of the material when requested; and not retain unauthorized copies of the Confidential Information.

8. EXCEPTIONS
Confidential Information does not include information that the Beta Reader can demonstrate: (1) was publicly available before disclosure; (2) becomes publicly available through no fault or violation of this Agreement; (3) was lawfully known by the Beta Reader before disclosure; (4) is independently developed without using Confidential Information; or (5) must be disclosed by law, court order, or governmental authority, provided that the Beta Reader, where legally permitted, promptly notifies Gold Watch Media before making such disclosure.

9. OWNERSHIP & INTELLECTUAL PROPERTY
All rights, title, and interest in the Confidential Information remain with Gold Watch Media and/or the applicable author, creator, copyright owner, publisher, or affiliated company. Nothing in this Agreement transfers or grants the Beta Reader any ownership or intellectual-property rights. The Beta Reader acknowledges that unauthorized disclosure or use of Confidential Information could cause substantial harm to Gold Watch Media and its creators.

10. TERM OF CONFIDENTIALITY
This Agreement becomes effective when signed. The Beta Reader’s confidentiality obligations continue after completion of the beta-reading assignment and remain in effect until the Confidential Information becomes publicly available through an authorized disclosure by Gold Watch Media or otherwise ceases to qualify as confidential information. Trade secrets and other information protected by applicable law remain protected for as long as permitted by law.

11. NO GUARANTEE OF PUBLICATION
Participation in the beta-reading process does not guarantee that any manuscript, novel, media project, or other creative work will be published, produced, released, distributed, or commercially developed. Gold Watch Media retains the right to revise, delay, cancel, modify, or discontinue any project at its discretion.

12. VOLUNTARY PARTICIPATION
Participation is voluntary. The purpose of the beta-reading process is to provide valuable outside perspective before material is released to the public. The Beta Reader agrees to provide feedback in good faith and understands the importance of protecting unreleased creative work.
